Terms of Service
Terms of Service
Last modified: October 27, 2026
1. Acceptance of terms
1.1 These terms (hereinafter "Terms") are accepted when creating an eCourier profile, by using the eCourier application (the Application) or by otherwise indicating acceptance thereof.
1.2 The Application is a business-to-business service offered by eCourier ApS, CVR number: 41412003, Rådhusstræde 15, 1466 København K (hereinafter "eCourier").
1.3 Creation of an Agreement can only be done by persons who have the necessary authorisation on behalf of the Service Recipient. It is the responsibility of the Service Recipient to keep all master information (company number, tax number, invoice email, name, address, etc.) in the Application up to date.
1.4 The user must at all times be aware of the content of these Terms and use the Application in accordance with them.
1.5 In these Terms:
- Service Recipient: The business or organisation contracting with eCourier.
- Agreement: The contract between eCourier and the Service Recipient for use of the Application, including these Terms and the Data Processing Agreement.
- Application Data: Electronic documents and related content, metadata and delivery records processed through the Application for the Service Recipient, including flows managed for its customers.
- Usage Data: Technical information about access to and use of the Application, such as login and security events, feature usage and document counts. It excludes electronic document content.
- Archive: The Application's document storage and retrieval function referred to in clauses 5.2 and 9.5.
- Integration Tools: APIs, webhooks and other interfaces supplied by eCourier for connecting the Application to other software.
- User: An individual authorised to access the Application on behalf of the Service Recipient.
- Personal Data: Personal data as defined in Regulation (EU) 2016/679 (the GDPR).
2. Duration of the agreement, billing plans and invoicing
2.1 The Agreement enters into force when the Service Recipient accepts these Terms in accordance with clause 1.1 and continues until terminated in accordance with these Terms.
2.2 The Agreement is billed according to one of the following billing plans, chosen in the Application, unless otherwise separately agreed:
- Pay as you go: The Service Recipient funds a prepaid balance in advance, from which usage charges and applicable fees are deducted, as set out in clauses 2.3 to 2.7.
- Volume: A fixed fee is invoiced monthly and includes the agreed monthly usage allowance. Any usage above that allowance is charged at the applicable rates and invoiced the following month, as set out in clauses 2.8 and 2.9.
Pay as you go
2.3 Charges for billable electronic documents are deducted once the documents have been successfully transmitted. Monthly participant fees are deducted after the end of the relevant calendar month. Charges are calculated at the applicable prices under clause 4.6. The billing currency is selected when billing is set up and cannot subsequently be changed.
2.4 The balance is topped up by charging a payment card stored in the Application. Top-ups are made either manually in the Application or automatically. With automatic top-up, the Service Recipient chooses an amount that is charged to the stored payment card whenever the balance falls below a threshold chosen by the Service Recipient. By enabling automatic top-up, the Service Recipient authorises eCourier to charge the stored payment card without requesting separate approval for each top-up. The payment provider may nevertheless require additional authentication by the Service Recipient. Automatic top-up does not guarantee that the balance will remain sufficient at all times.
2.5 Top-ups are subject to the minimum amount stated in the Application. Top-up amounts are exclusive of VAT, and VAT is added where applicable. The amount exclusive of VAT is credited to the balance once the payment has been confirmed, after which an invoice for the top-up is issued.
2.6 Sending electronic documents requires a sufficient balance. Receiving electronic documents and other usage is deducted from the balance even if the balance is insufficient, which may make the balance negative. A negative balance constitutes an amount owed to eCourier. Subsequent top-ups reduce that amount, and any outstanding amount remains payable.
2.7 Top-ups are non-refundable. The balance cannot be paid out, transferred to another Agreement or exchanged for cash, including upon termination of the Agreement or change of billing plan.
Volume
2.8 The first billing period runs from the date the Volume plan takes effect to the end of that calendar month. Thereafter, billing periods follow calendar months. The fixed monthly fee is invoiced in advance, unless otherwise agreed.
2.9 Usage exceeding the agreed monthly allowance, and any other charges not included in the fixed monthly fee, are invoiced the following month at the applicable prices under clause 4.6, unless otherwise agreed.
3. Scope and application of the agreement
3.1 The Application is provided as software as a service, with non-exclusive access. The Service Recipient does not acquire the Application or a copy of it. The warranty provisions in clause 8.1 apply.
3.2 eCourier may change the composition, functionality and content of the Application. Significant changes will be notified by email with advance notice at least equal to the termination notice period specified in clause 9.1. Where a change must be implemented sooner to address an urgent security risk, comply with a legal requirement or prevent serious disruption to the service, eCourier may implement it with shorter notice or immediately and will notify the Service Recipient as soon as reasonably practicable.
3.3 Set-up, configuration and maintenance, including costs associated with this, of add-on modules offered by third parties, is not the responsibility of eCourier.
3.4 Login information for an Agreement is unique and may only be used by one individual User. A breach of this provision is considered a material breach.
3.5 The Application must at no time be used in a way that could damage eCourier's name, reputation or goodwill, or that is in violation of relevant legislation or other regulation. A breach of this provision is considered a material breach.
3.6 In the event that sent electronic documents are not delivered to the recipient due to technical circumstances, eCourier will notify of this.
4. Prices and payment terms
4.1 Top-ups and monthly invoicing follow the billing plan provisions in clauses 2.4 to 2.9.
4.2 On the Volume plan, payment terms are 8 days net from the invoice date, unless otherwise separately agreed.
4.3 If payment of an invoice on the Volume plan is not made in a timely manner, eCourier reserves the right to downgrade the package without notice. eCourier is entitled to send reminder 1 without charge 7 days after the due date of the invoice. If the Agreement is still not paid for, eCourier must send reminder 2 with a fee of DKK 150 10 days later. If payment is still not received within 7 days after reminder 2, eCourier reserves the right to block use of the Application. Blocking access under this clause does not terminate the Agreement. Termination for non-payment is governed by clause 4.4.
4.4 If an overdue amount remains unpaid, eCourier may give the Service Recipient written notice by email requiring payment within 30 days after the notice is sent and stating that the Agreement may be terminated if payment is not received. This notice period may run concurrently with reminders and any blocking of access under clause 4.3. If the overdue amount remains unpaid when that deadline expires, eCourier may terminate the Agreement by email. Export, return and deletion of Application Data are governed by clauses 9.4–9.5 and the Data Processing Agreement.
4.5 Invoices are sent by email, electronic invoicing, or both, according to the delivery settings specified in the Application, unless otherwise agreed. Reminders are sent to the email address specified in the Application.
4.6 Applicable prices are published on eCourier's website, shown in the Application, or agreed separately with the Service Recipient. All prices are exclusive of VAT. eCourier is entitled to adjust its prices at least once a year. This adjustment shall be made with a notice period equivalent to the termination notice stipulated in clause 9.1 of the agreement.
5. Application data
5.1 The Service Recipient acts as a data controller for Application Data or as a data processor where it processes Application Data on behalf of its customers, depending on the particular processing activity. eCourier acts as a processor or sub-processor, respectively, when processing Personal Data on behalf of the Service Recipient. Such processing is governed by the data processing agreement (hereinafter "Data Processing Agreement"), including its provisions on instructions and authorisation where the Service Recipient acts as a processor. The Data Processing Agreement forms an integral part of these Terms and is accepted together with them.
5.2 Application Data, including transmitted document content, remains in the Archive for the duration of the Agreement and any export period expressly confirmed under clause 9.5, subject to documented deletion instructions under the Data Processing Agreement and applicable law. The Service Recipient must retain its own copies as needed for bookkeeping and record-retention obligations, including after the Agreement ends.
5.3 eCourier uses Application Data as necessary to provide, maintain, support and secure the Application and fulfil its obligations under the Agreement. Personal Data processing is governed by the Data Processing Agreement. Separate use for product development, pricing analysis and commercial statistics is limited to the anonymous aggregate usage metrics described in clause 6.2. Transmitted document content shall not be used for those separate purposes.
6. Usage data
6.1 eCourier acts as controller for Personal Data in Usage Data processed for its own account administration, security and operation of the service, as described in the Privacy Policy. Personal Data processed on behalf of the Service Recipient remains subject to the Data Processing Agreement.
6.2 eCourier may use anonymous aggregate usage metrics for statistics, analysis, pricing and product development. These metrics must not allow individuals to be identified, including by combination with other information, or disclose the content of transmitted documents.
6.3 Where producing these metrics involves Personal Data, that processing must comply with applicable data protection law. Processing Personal Data on behalf of the Service Recipient to produce metrics requires documented instructions under the Data Processing Agreement. eCourier may retain lawfully produced anonymous aggregate metrics after the Agreement ends. Personal Data processed on behalf of the Service Recipient shall be returned or deleted under the Data Processing Agreement.
7. Power of attorney for handling electronic documents
7.1 By entering into these Terms, eCourier is authorised to act as an operator on behalf of the Service Recipient. eCourier may transmit and receive electronic documents on behalf of the Service Recipient through the channels selected by eCourier. This includes authorisation to register the Service Recipient in the NemHandel Register and on the Peppol network, publish and maintain its participant identifiers, supported document types and relevant delivery information in the applicable registers and service metadata publishing services, and accept the General Conditions for Use of the NemHandel Register on its behalf.
7.2 When the Service Recipient is registered to receive electronic documents through NemHandel or Peppol, its participant identifiers, supported document types and relevant delivery information are published in the applicable registers and service metadata publishing services, enabling other senders and service providers to discover and send electronic documents to it.
7.3 When sending electronic documents, eCourier is not responsible for errors in the recipient's system and cannot guarantee a deadline for the receipt of the document by the recipient.
7.4 Upon termination of the Agreement, eCourier deregisters the Service Recipient as recipient of the Service Recipient's electronic documents from relevant service providers.
8. Operational stability
8.1 eCourier strives for the highest possible operational stability, but is not responsible for breakdowns or operational disruptions, including operational disruptions caused by factors beyond eCourier's control. These include, among other things, power failure, failure of equipment, internet connections, telecommunication connections or the like. The Application is provided as is and eCourier disclaims any warranty, assurance, representation or other conditions or terms, whether direct or indirect.
8.2 In the event of breakdowns or disruptions, eCourier endeavours to restore normal operation as soon as possible.
8.3 Planned interruptions will preferably be placed outside normal working hours. Should it become necessary to interrupt access to the Application outside the stated time period, this will be notified in advance as soon and as far as possible.
9. Termination
9.1 Termination of the Agreement shall be communicated through direct contact with eCourier's support. Termination may be made with a notice period of 1 month, ending at the conclusion of a calendar month, unless otherwise expressly agreed upon.
9.2 Changes to billing plans and optional services may be requested through the Application where available, or by contacting eCourier. Changes take effect as stated in the Application or otherwise agreed.
9.3 eCourier can terminate the contractual relationship with a notice of 3 months to the end of a calendar month, or without notice if these Terms are significantly breached or in the event of bankruptcy or insolvency of the Service Recipient. Termination for non-payment is governed by clause 4.4.
9.4 After the Agreement and any export period expressly confirmed under clause 9.5 end, eCourier will delete Application Data in accordance with applicable law and the Data Processing Agreement, which also governs the return of Personal Data.
9.5 The Application allows the Service Recipient to export selected Application Data. The Service Recipient is responsible for completing any required export before the Agreement ends. eCourier may, at its discretion, grant an additional export period of up to 10 days after the Agreement ends. Any additional export period will be confirmed by eCourier, and the Application Data covered by that period will remain available for export until it expires.
9.6 None of the Parties can be held responsible for errors or delays in the performance of their obligations, if performance is hindered by events that can reasonably be said to be beyond the individual Party's control (Force Majeure), e.g. war, natural disasters, acts of terrorism, strikes, lockouts, and government measures.
10. Changes
10.1 eCourier may continuously maintain, update and improve the Application, including its technical structure. Such changes may be made without advance notice, subject to the notification requirements in clause 3.2.
11. Intellectual Property Rights
11.1 The Application and information submitted from the Application, except Application Data, are protected by copyright and other intellectual property rights and belong to or are licensed to eCourier. Individually prepared software also belongs to eCourier, unless otherwise agreed in writing. eCourier must be informed of any current or potential infringement of eCourier's intellectual property rights or unauthorised use of the Application that the Service Recipient, including their Users, becomes aware of.
11.2 At no time will eCourier's intellectual property rights be transferred to the Service Recipient.
11.3 In relation to material uploaded to the Application, eCourier and its suppliers are granted a permission and global licence that is sufficient for eCourier to properly run and operate the Application and fulfil its obligations. Material uploaded to the Application or shared with eCourier must at no time infringe the rights of third parties or contain elements that may be offensive or in breach of relevant legislation or other regulation. eCourier shall be indemnified against any loss in connection with this provision.
12. Transfer of rights and obligations
12.1 eCourier has the right to transfer its rights and obligations to a third party or an affiliated company.
12.2 The Service Recipient may transfer its rights and obligations to a group-affiliated company, but at no time to a third party.
13. eCourier's liability
13.1 eCourier disclaims any responsibility in relation to these Terms, services or use of the Application, including the use of eCourier's Integration Tools, regardless of whether this arises in contract or outside of contract, including for operating loss, consequential damage or other indirect losses, loss of data, loss based on product liability or loss arising from simple negligence.
13.2 The user is responsible for the content and correctness of the issued electronic invoices and other business documents, and that they comply with applicable legislation at all times. eCourier does not check the content of the electronic documents received, but only verifies that the documents are valid in relation to supported standards and formats.
13.3 eCourier is not responsible for the third-party solutions that are available and/or integrated with the Application via eCourier's Integration Tools. This includes, among other things, integrations that are added to the Application. Thus, eCourier cannot be held responsible for the correctness, completeness, quality and reliability of the information, nor the results obtained through these third-party solutions. Correspondingly, eCourier cannot be held responsible for the availability, security or functionality of the third-party solutions, including for possible damages and/or losses caused by third-party solutions. It is the responsibility of the Party who wants to assert a claim to provide evidence that a suffered loss cannot be attributed to third-party solutions.
13.4 eCourier cannot be held responsible for actions taken by the Service Recipient, including their Users who are associated with an Agreement.
13.5 Regardless of the type of loss or the basis of liability, eCourier's total liability is limited to the amount of the remuneration corresponding to the latest preceding month before the occurrence of the situation that gave rise to liability, but in all cases a maximum of DKK 50,000.
14. Indemnification
14.1 eCourier shall be indemnified against product liability claims, damages and other losses, losses of third parties, liability for third parties, and other third-party claims, to the extent they arise from use of the Application.
15. Confidentiality
15.1 eCourier has a duty of confidentiality regarding all information that eCourier may come into possession of.
16. Terms changes
16.1 eCourier may amend these Terms. For existing Agreements, eCourier will notify the Service Recipient by email, summarising the changes, linking to the revised Terms and specifying an effective date at least one month after the notice. The Service Recipient may reject the changes by terminating the Agreement before that date, notwithstanding the notice period in clause 9.1. Continued use of the Application on or after the notified effective date constitutes acceptance of the revised Terms. An earlier effective date requires the Service Recipient's express agreement.
17. Disputes
17.1 These terms are subject to Danish law. Any dispute arising from the contractual relationship, including these Terms, must be resolved amicably. If this is not possible, the case will be brought to the City Court in Copenhagen.
18. Validity
18.1 This version of the Terms is dated October 27, 2026. For new Agreements, it applies upon acceptance under clause 1.1. For existing Agreements, it replaces the previously agreed version from the effective date determined under clause 16.1. Until then, the previously agreed version continues to apply.
18.2 Invalidity of or limitation in enforcing any clause of these Terms shall not affect the enforceability of other clauses. These will continue to be fully valid throughout the Agreement.
